Terms of Service

These Terms of Service ("Terms") govern your access to and use of Jarvis ("the Service"), a subscription software service provided by Aerele Technologies ("Aerele", "we", "us"). By creating an account, subscribing to, or using the Service, you ("you", "the Customer") agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation. This is a draft pending legal review.

1. The Service

Jarvis is an AI operations assistant delivered as a hosted, browser-based software service. The features and limits available to you depend on the plan you subscribe to, as described on our Pricing and Services pages. We may update, improve, or change features of the Service over time.

2. Accounts and eligibility

  • You must provide accurate account and billing information and keep it current.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You must be capable of forming a legally binding contract to use the Service.

3. Subscriptions, fees and billing

  • The Service is offered on a subscription basis. Fees, billing cycles (monthly or annual), any trial period, and any one-time signup fee are as shown on the Pricing page at the time you subscribe. All fees are in Indian Rupees (INR).
  • Subscriptions are billed in advance for each billing cycle. Unless you cancel, subscriptions renew automatically for successive billing cycles, and you authorise us (and our payment processors) to charge the applicable fees using your selected payment method.
  • Payments are processed by our payment gateway partners, Razorpay and Cashfree. Aerele Technologies is the merchant of record for all charges.
  • Fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes (such as GST).
  • Cancellation and refund terms are set out in our Cancellation & Refunds policy.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to gain unauthorised access to the Service, other accounts, or our systems, or interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, resell, or sublicense the Service except as expressly permitted.
  • Upload or process content that infringes the rights of others or that you do not have the right to process.

5. Customer data and confidentiality

You retain ownership of the data and content you provide to the Service ("Customer Data"). You grant us the limited rights necessary to host, process, and operate the Service on your behalf. Our handling of personal data is described in our Privacy Policy. We take reasonable technical and organisational measures to protect Customer Data.

6. Intellectual property

The Service, including its software, models integration, and content (excluding Customer Data), is owned by Aerele Technologies and its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any rights in the Service other than the limited right to use it in accordance with these Terms.

7. Third-party services

The Service may rely on or integrate with third-party services (for example, payment processors and AI model providers). Your use of those services may be subject to their own terms, and we are not responsible for third-party services.

8. Availability, suspension and termination

  • We aim to keep the Service available but do not guarantee uninterrupted availability. Maintenance and factors outside our control may cause downtime.
  • We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or where required by law.
  • You may stop using and cancel the Service at any time as described in our Cancellation & Refunds policy.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis. Jarvis uses artificial intelligence, and outputs may be inaccurate or incomplete; you are responsible for reviewing and verifying outputs before relying on them. To the maximum extent permitted by law, we disclaim all warranties not expressly stated in these Terms.

10. Limitation of liability

To the maximum extent permitted by law, Aerele Technologies will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data. Our aggregate liability arising out of or relating to the Service is limited to the amount you paid for the Service in the OWNER-FILL: liability cap period, e.g. preceding 3 (three) months.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing law and jurisdiction

These Terms are governed by the laws of India. The courts at OWNER-FILL: city, state shall have exclusive jurisdiction, subject to applicable law.
